Terms of Service

1. About these terms

These Terms of Service govern your use of nuvela.com.au and the Nuvela platform, operated by Nuvela Pty Ltd (ABN pending). By creating an account, you agree to these terms. If you are using the Platform on behalf of an organisation, you confirm that you have the authority to bind that organisation to these terms.

2. The Platform

Nuvela is cloud-based NDIS management software for rostering, payroll, billing, compliance, and worker management. The features available to you vary by subscription plan.

3. Eligibility

To use the Platform, you must:

  • Be at least 18 years old.
  • Be an NDIS provider, support worker, or administrator.
  • Provide accurate and complete information.
  • Comply with Australian law and NDIS regulations.

4. Accounts

  • Provider accounts. Providers can invite administrators and support workers to their organisation.
  • Support worker accounts. Worker accounts are portable across multiple providers, and the profile belongs to the worker.
  • Account security. Keeping your login credentials secure is your responsibility. Notify us promptly of any suspected breach.
  • Termination. We may suspend or terminate accounts for violations of these terms or for non-payment.

5. Subscription plans and payment

We offer Starter, Growth, and Enterprise plans at our current pricing. Subscriptions are billed monthly in AUD via Stripe, and free setup is included on all plans.

  • We will give 30 days' notice of any price increases.
  • You may cancel anytime; cancellation takes effect at the end of the current billing period, and we do not provide partial refunds.
  • Failed payments have a 14-day grace period before the account is suspended.

6. Acceptable use

You must not:

  • Submit false or fraudulent NDIS claims.
  • Violate the NDIS Act or the NDIS Practice Standards.
  • Infringe intellectual property rights.
  • Introduce malware or malicious code.
  • Access another organisation's data.
  • Use the Platform for non-NDIS purposes.

You are responsible for your own NDIS compliance. Nuvela assists with compliance but does not guarantee compliance outcomes.

7. Your data

You own your data. Nuvela processes it in accordance with our Privacy Policy. AI processing of progress notes is performed by Anthropic, and your notes are not used to train AI models. You can export your data at any time, and you have 30 days to export your data after termination. For participant information, you are the data controller and Nuvela is the data processor.

8. Nuvela's intellectual property

The Platform is owned by Nuvela Pty Ltd. You must not copy, modify, distribute, or reverse-engineer any part of the Platform.

9. Third-party integrations

Integrations such as Xero, QuickBooks, and Stripe are subject to their own terms of service. Nuvela is not responsible for the availability or performance of third-party services.

10. Disclaimer of warranties

The Platform is provided “as is”. To the extent permitted by the Australian Consumer Law (ACL), we make no warranty that the service will be uninterrupted, that payroll or billing calculations will be accurate, or that the Platform will meet all of your compliance requirements. You should verify outputs before acting on them. Nothing in these terms excludes, restricts, or modifies any guarantee, right, or remedy under the ACL that cannot be lawfully excluded.

11. Limitation of liability

To the extent permitted by law, our maximum liability to you is limited to the subscription fees you paid in the three months preceding the claim. We are not liable for indirect, incidental, or consequential loss.

12. Indemnification

You agree to indemnify Nuvela against claims arising from your breach of these terms, your violation of any law, any false information you provide, or any third-party claim arising from your use of the Platform.

13. Confidentiality

Both parties agree to keep each other's non-public information confidential. This obligation survives termination of these terms.

14. Changes

We may change the Platform with reasonable notice. We will give 14 days' notice of changes to these terms by email. Continued use of the Platform after a change takes effect constitutes acceptance of the updated terms.

15. Termination

By you: you may cancel your subscription at any time. By us:we may terminate immediately for breach or fraud, or on 30 days' notice otherwise. On termination, you have 30 days to export your data, after which it is archived in accordance with our Privacy Policy.

16. Governing law

These terms are governed by the laws of Queensland, Australia. The courts of Queensland have exclusive jurisdiction over any dispute arising from these terms.
